1. About these terms

These Terms of Use govern your access to and use of lixnor.comand the Lixnor client portal (together, the “Site”), operated by Lixnor (“Lixnor”, “we”, “us”). By accessing or using the Site you agree to these terms. If you do not agree, please do not use the Site.

2. Who we are

Lixnor is a software company providing components and tooling for capital-markets trading platforms.

3. Using the Site

You may use the Site for lawful purposes only. You agree not to:

• use the Site in any way that breaches applicable law or regulation;
• attempt to gain unauthorised access to the Site, the portal, any account, or the systems or networks behind them;
• introduce malicious code, or probe, scan or test the vulnerability of the Site without our written permission;
• interfere with the proper working of the Site, or impose an unreasonable load on it (including automated scraping or harvesting); or
• misuse, copy or redistribute Site content except as expressly permitted.

4. The client portal and accounts

Access to the client portal is provided to authorised users and is provisioned by Lixnor. If you are given an account:

• you are responsible for keeping your credentials confidential and for all activity under your account;
• you must notify us promptly at [email protected] of any suspected unauthorised use;
• you must only access the software, downloads and documentation your account is entitled to; and
• we may suspend or withdraw access at any time, including where these terms or a related agreement are breached, or for security or operational reasons.

5. Software and licensing

Software made available through the portal is provided under separate licence or service agreements between you (or your organisation) and Lixnor. Access to the portal does not by itself grant any licence to use the software, and nothing on the Site transfers any intellectual-property rights in our software to you. Your use of any downloaded component is governed by the licence terms applicable to it.

6. Intellectual property

All content on the Site — including text, graphics, logos, the Lixnor name and marks, documentation, and the design and code of the Site — is owned by Lixnor or its licensors and is protected by intellectual-property laws. You may not use it except as expressly permitted by us or by these terms.

7. Documentation

Product guides and documentation in the portal are provided to support your use of licensed Lixnor software. They are made available on an as-is basis for your internal use, and may be updated or changed as our products evolve.

8. Disclaimers

The Site is provided on an “as is” and “as available” basis. While we work to keep it accurate and available, we make no warranties that the Site will be uninterrupted, error-free, or that content is complete or current. Nothing in these terms affects any warranties or commitments made in a separate written agreement between us.

9. Limitation of liability

Nothing in these terms limits or excludes our liability where it would be unlawful to do so (including for death or personal injury caused by negligence, or for fraud). Subject to that, and to the extent permitted by law, Lixnor will not be liable for any indirect or consequential loss, or for loss of profits, revenue, data or goodwill, arising from your use of the Site. Liability under any separate software or service agreement is governed by that agreement.

10. Third-party links

The Site may link to third-party websites or services we do not control. We are not responsible for their content or practices, and a link does not imply endorsement.

11. Changes

We may update the Site and these terms from time to time. The “last updated” date above shows when these terms were last revised; continued use of the Site after a change means you accept the revised terms.

12. Governing law

These terms and any dispute arising from them are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
